Definitions

  • Personal Data: Any information relating to an identified or identifiable natural person.
  • Processing: Any operation or set of operations performed on personal data.
  • Data Subject: An identified or identifiable natural person whose information the Processor handles on behalf of the Controller.

Scope and Purpose

This Agreement ensures the lawful handling of Personal Data by the Processor as instructed by the Controller and defines the rights and obligations of both parties.

Data Processing Terms

  1. Processing Instructions: The Processor agrees to handle personal data only based on documented instructions from the Controller, unless required by law.
  2. Security of Processing: The Processor shall implement appropriate technical and organizational measures to ensure security proportional to the risk.
  3. Subprocessing: The Processor shall not engage another processor without prior written authorization from the Controller.
  4. Data Subject Rights: The Processor shall assist the Controller in fulfilling data subjects’ rights under applicable protection laws.
  5. Data Breach Notification: The Processor shall notify the Controller without undue delay upon discovering a personal data breach.

Duration and Termination

This Agreement remains in effect as long as the Processor handles Personal Data on behalf of the Controller. Upon termination, the Processor shall delete or return all Personal Data at the Controller’s direction and remove existing copies unless EU or member state law requires continued storage.

Governing Law
